Welcome to the website of Goodwood Marine Limited (“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website, digital storefront, and any marine services, consulting, or products provided by us (collectively, the “Services”).

By accessing our website, executing a service contract, or completing an online purchase, you (“Client,” “User,” or “you”) agree to be bound by these Terms. If you do not agree to these Terms, you must not use our website or purchase our Services.

1. Corporate Identity & Contractual Relationship

• The Operating Entity: All core industrial services, maritime consulting, operational project management, and physical fulfillment are provided exclusively by Goodwood Marine Limited, a corporate entity registered under the laws of Trinidad and Tobago.
• The Processing Intermediary: To securely facilitate global financial transactions, Goodwood Marine Limited utilizes an affiliated entity under common corporate ownership, Goodwood Marine US LLC (registered in Wyoming, United States), to act as its authorized billing agent and Merchant of Record.
• Contract Execution: Your contractual service relationship remains at all times with Goodwood Marine Limited. Your billing, transaction routing, and financial settlement clearances are securely executed via Goodwood Marine US LLC.

2. Billing, Pricing, and Payments

• Currency: All pricing, quotes, and invoice balances are denominated and processed in United States Dollars (USD), unless explicitly stated otherwise in writing on a customized corporate invoice.
• Payment Methods: We accept international payments via major credit cards, debit cards, and corporate bank wire transfers. These transactions are cleared securely through our merchant gateway infrastructure (Stripe and Mercury Bank).
• Statement Descriptors: When you complete a transaction, the charge will appear on your credit card statement or bank ledger under a descriptor referencing our US billing intermediary (typically GOODWOOD MARINE US LLC or STRIPE GOODWOOD MARINE*). You acknowledge and agree that charges displaying these names represent legitimate corporate payments for our Services.
• Payment Exclusion of Taxes: Pursuant to our operational configurations, all stated prices are exclusive of taxes. No consumer sales taxes or VAT are hidden inside our listed prices. If any local consumer taxes, import duties, or digital service levies apply based on your specific domestic jurisdiction, they will be calculated dynamically and added on top of your final invoice total at checkout.

3. Payment Processing Fees & Administrative Retentions

• Internal Corporate Flow: Clients are billed strictly for the gross contract amount displayed on their invoice or checkout cart.
• Agent Commission Transparency: In accordance with our internal corporate governance and cross-border tax compliance structures, Goodwood Marine US LLC retains a fixed 10% administrative service fee from processed transaction volumes to cover US management overhead and transactional banking costs. The remaining 90% of funds are securely remitted on a monthly schedule to Goodwood Marine Limited in Trinidad and Tobago to fund core operational activities. This internal mechanism does not impose any additional hidden fees or surcharges on top of the Client's agreed invoice balance.

4. Late Payments, Cancellations, and Refunds

• Service Termination: We reserve the right to immediately pause, terminate, or withhold project milestones or service deliveries if payment authorizations fail, or if an invoice remains unpaid past its stated due date.
• Refund Policy: Due to the specialized corporate nature of marine engineering, operational consulting, and logistics services, all sales are final. Refunds are issued solely at the discretion of Goodwood Marine Limited and will be evaluated on a case-by-case milestone basis.
• Chargeback Defense: If you initiate an unauthorized or fraudulent chargeback through your credit card provider or banking institution for a service successfully rendered, we will submit these Terms, your signed Intercompany Payment Agency Agreement parameters, and your tracking logs directly to the merchant dispute network to legally challenge the reversal and reclaim the funds.

5. Limitation of Liability & Indemnification

• Scope of Liability: In no event shall Goodwood Marine Limited, Goodwood Marine US LLC, or our mutual directors, officers, or employees be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with our marine operations or website use.
• Maximum Liability Cap: Our maximum aggregate liability to you for any claims arising out of an invoice or contract shall not exceed the actual total dollar amount paid by you to us during the immediate three (3) month period preceding the claim.

6. Governing Law and Jurisdiction

• Operations & Performance: Any legal disputes, interpretations, or claims regarding physical service delivery, maritime performance, or operational execution are governed strictly by the laws of Trinidad and Tobago, and shall be resolved inside the courts of Port of Spain.
• Transactional Clearing: Any specific disputes regarding card data security, processing clearing mechanisms, or US banking compliance are subject to the governing corporate jurisdictions of the state of Wyoming, United States.

7. Changes to the Terms of Service

We reserve the right to amend these Terms at any time to reflect changing international banking laws, Stripe network updates, or internal corporate adaptations. The updated version will be marked with a new “Last Updated” date and becomes effective immediately upon publication to our storefront website.
